ComFood Market is a private B2B commodity platform designed to facilitate direct and streamlined interactions between verified suppliers and verified buyers in the global commodity market.

1. Platform Purpose and Eligibility

1.1 Platform Focus: ComFood Market is exclusively dedicated to connecting verified suppliers and verified buyers for direct and streamlined business interactions. Our platform is not open to unverified users, resellers, or individuals acting outside their official business capacity.

1.2 Verification Requirement: All users must undergo verification by our team before gaining access to the platform. Verification includes but is not limited to:

  • Company registration and legal status verification
  • Business license and certifications review
  • Contact information validation
  • Background and compliance checks

1.3 Eligibility: By using our platform, you represent and warrant that:

  • You are at least 18 years old
  • You have the authority to enter into this agreement on behalf of your company
  • You are a legitimate business entity engaged in commodity trading
  • You have been verified by ComFood Market
  • You will use the platform only for lawful purposes

2. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Fraudulent Activities:

  • Submitting false or misleading information about your company or products
  • Misrepresenting product quality, certifications, or specifications
  • Creating fake accounts or impersonating other businesses
  • Engaging in financial fraud or payment fraud
  • Unauthorized use of another company's credentials or information

Spam and Harassment:

  • Sending unsolicited bulk messages or spam
  • Posting irrelevant or off-topic content
  • Harassing, threatening, or abusing other users
  • Engaging in targeted off-platform solicitation
  • Sharing contact information for purposes outside the platform

Deceptive Practices:

  • Deliberately misleading other users about product availability or pricing
  • Bait-and-switch tactics or false advertising
  • Misrepresenting delivery capabilities or timelines
  • Providing false certifications or compliance documentation
  • Attempting to circumvent platform verification processes

Platform Abuse:

  • Attempting to hack or compromise platform security
  • Scraping or unauthorized data collection
  • Reverse engineering platform functionality
  • Disrupting platform services or infrastructure
  • Violating intellectual property rights

3. Platform Liability and Disclaimers

3.1 No Responsibility for Product Quality: ComFood Market operates as a platform facilitating connections between suppliers and buyers. Despite our careful verification processes and thorough review of product certifications and quality standards, we do not guarantee the quality, authenticity, or fitness of any products sold through our platform.

We are not responsible for:

  • The quality, condition, or authenticity of products delivered to buyers
  • Product defects, contamination, or damage
  • Discrepancies between product specifications and actual delivered goods
  • Health or safety issues arising from product use
  • Compliance with local regulations in the buyer's jurisdiction

3.2 Limitation of Liability: ComFood Market shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.

3.3 "As-Is" Basis: Our platform is provided "as-is" without warranties of any kind, express or implied. We do not warrant that the platform will be error-free, uninterrupted, or secure.

4. Supplier Obligations

Suppliers using our platform agree to:

  • Provide accurate and truthful information about their company, products, and certifications
  • Maintain all necessary licenses, permits, and certifications required for their business
  • Comply with all applicable laws and regulations in their jurisdiction and the buyer's jurisdiction
  • Fulfill orders in accordance with agreed specifications and timelines
  • Maintain product quality and safety standards
  • Respond to buyer inquiries in a timely and professional manner
  • Disclose any material changes to product specifications or availability
  • Maintain confidentiality of buyer information

5. Buyer Obligations

Buyers using our platform agree to:

  • Provide accurate company and contact information
  • Conduct due diligence on suppliers and products before purchase
  • Verify product specifications and certifications independently
  • Comply with all import/export regulations and customs requirements
  • Honor agreed payment terms and delivery arrangements
  • Communicate clearly about requirements and expectations
  • Handle disputes professionally and in good faith
  • Maintain confidentiality of supplier information

6. No Responsibility for Delivery and Quality

6.1 Delivery Responsibility: ComFood Market is not responsible for delivery timelines, shipping methods, or logistics arrangements. These are matters between the supplier and buyer. Delays, damages, or loss during transit are the responsibility of the shipping parties and insurance providers, not ComFood Market.

6.2 Quality Assurance: While we verify supplier certifications and conduct initial quality checks, we do not guarantee the quality of products upon delivery. Buyers are responsible for:

  • Inspecting products upon receipt
  • Verifying compliance with agreed specifications
  • Conducting independent quality testing if required
  • Raising quality concerns within agreed timeframes

6.3 Supplier Performance: ComFood Market is not responsible for supplier performance, including failure to deliver, partial shipments, or non-compliance with agreed terms. These matters must be resolved directly between the supplier and buyer or through dispute resolution mechanisms outlined in Section 8.

7. Dispute Resolution

7.1 Direct Resolution: In the event of a dispute between a supplier and buyer, the parties agree to attempt resolution through direct negotiation and good-faith discussion.

7.2 International Jurisdiction: Any disputes that cannot be resolved through direct negotiation shall be resolved through international courts in accordance with the laws of the jurisdiction specified in the underlying commercial contract between the supplier and buyer.

7.3 Binding Contracts: All transactions conducted through ComFood Market are governed by the specific contracts signed between the supplier and buyer. ComFood Market is not a party to these contracts and will not intervene in disputes unless required by law.

7.4 Platform Mediation: While ComFood Market may offer voluntary mediation services to assist in dispute resolution, we are under no obligation to do so and will not be liable for the outcomes of any disputes.

8. User Conduct and Account Termination

8.1 Monitoring: ComFood Market reserves the right to monitor user activity and suspend or terminate accounts that violate these Terms or engage in prohibited activities.

8.2 Grounds for Termination: We may terminate or suspend your account immediately if you:

  • Violate any provision of these Terms
  • Engage in fraudulent or illegal activities
  • Provide false information or misrepresent your business
  • Harass or abuse other users
  • Attempt to compromise platform security
  • Violate applicable laws or regulations

8.3 Effect of Termination: Upon termination, your access to the platform will be immediately revoked. You remain responsible for any obligations arising from transactions completed prior to termination.

9. Intellectual Property Rights

All content on ComFood Market, including but not limited to text, graphics, logos, images, and software, is the property of ComFood Market or its content suppliers and is protected by international copyright laws.

You may not reproduce, distribute, transmit, display, or perform any content from our platform without prior written permission from ComFood Market. User-generated content (such as product listings) remains the property of the user but grants ComFood Market a license to use such content for platform operations.

10. Modifications to Terms

10.1 Right to Modify: ComFood Market reserves the right to modify these Terms at any time to reflect changes in our platform, legal requirements, or business practices. We will notify users of material changes by updating the "Last updated" date and, where appropriate, by sending a notification.

10.2 Continued Use: Your continued use of the platform after modifications constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account.

11. Governing Law

These Terms of Use shall be governed by and construed in accordance with international commercial law and the laws applicable to the jurisdiction where disputes are resolved. Any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the courts as specified in the underlying commercial contracts between parties.
